Heimstaden Investment AB Sells Shares in Heimstaden Bostad AB
Today, Heimstaden Investment AB, a wholly owned subsidiary of Heimstaden AB, has entered into a sales agreement to sell shares in Heimstaden Bostad AB for a total cash consideration of SEK 1.15 billion.
On 27th February 2023, Heimstaden Bostad announced a tender offer to repurchase senior unsecured bonds partly financed with firm equity capital commitments from several shareholders, up to a maximum amount of SEK 4.5 billion, subject to the outcome of the tender offer. The results of the tender offer were announced today, and a residual equity commitment was not utilized due to the commercial outcome of the tender offer. The shares sold by Heimstaden Investment AB corresponds to the residual equity commitment in Heimstaden Bostad and were sold pro rata to the shareholders subscribing to the share issuance resolved in Heimstaden Bostad today.
The proceeds will be used for general corporate purposes.
Following the sale, Heimstaden Investment AB retains an ownership corresponding to 39.7% of the capital and 50.1% of the votes in Heimstaden Bostad.
