Communiqué from Axfood AB's (formerly Hemköpskedjan AB) Annual General Meeting on May 11, 2000 Dividend At the Annual General Meeting of Axfood AB held today, the proposed shareholder dividend for 1999 of SEK 2.60 per share was approved. Shares issued at the Extraordinary General Meeting on February 10, 2000, are not eligible for the 1999 dividend. The record date for the dividend was set at Tuesday, May 16, 2000. Dividends are expected to be sent out by the Swedish Securities Register Center (VPC) on Friday, May 19, 2000. Board of Directors The Annual General Meeting re-elected directors Göran Ennerfelt, Antonia Ax:son Johnson, Roger Källman, Gösta Törnroth, Marcus Storch, Claes Andersson, Peggy Bruzelius, Nils-Erik Johansson and Annika Åhnberg, and elected Mats Jansson as a new director of the Board. At the statutory board meeting following the Annual General Meeting, Göran Ennerfelt was appointed as Chairman of the Board, and Marcus Storch and Roger Källman were appointed as Deputy Chairmen. Auditors Per Bergman, Authorized Public Accountant, was re-elected and Caj Nackstad, Authorized Public Accountant, was elected as the company's auditors. Amendment to the Articles of Association It was resolved that the company's name shall be Axfood Aktiebolag. The company is a public company (publ.). Resolution on authorization for the Board The Annual General Meeting decided to authorize the Board to make decisions on new issues of shares - on one or more occasions - up to a combined total of 2,500,000 shares. If this authority is exercised in full, it will entail a 4.7 percent dilution of the capital and number of votes.
