`Spring Capital AS (now named Spring Holding 1 AS) and Spring Active AS, both being companies owned 50% by Alfred Ydstebø (and his heirs) chairman of the board of Acta Holding ASA and 50% by Fred Ingebrigtsen (and his heirs) board member of Acta Holding ASA have decided to reorganize their ownership in Acta Holding ASA so that all shares currently held by the two mentioned companies will be held by a new subsidiary - called Spring Capital AS (under incorporation). The new Spring Capital AS will be owned 50% by a Norwegian limited liability company wholly owned by Alfred Ydstebø (and his heirs) and 50% by a Norwegian limited liability company wholly owned by Fred Ingebrigtsen (and his heirs), these companies will be incorporated through a merger between Spring Holding 1 AS and Spring Active AS with an immediately following demerger. The new Spring Capital AS will today acquire all Acta Holding ASA shares held by Spring Active AS through a share purchase agreement, and the same company will acquire all shares held by Spring Holding 1 AS through a capital increase in kind to be filed with the Business Register today. Through these transactions the new Spring Capital AS will hold 80,037,094 shares in Acta Holding ASA and thereby control 31.80% of the shares and votes in Acta Holding ASA. The acquisition price will be NOK 21 per share in the acquisition from Spring Active AS and NOK 20 per share in the capital increase by Spring Holding 1 AS. This difference in price is due to differences in timing for the two transactions. The completion of the share transfer from Spring Active AS will take effect immediately; the completion of the capital increase from Spring Capital AS will take effect as of registration of the increase with the Norwegian Business Register.

As of completion of the transactions described above, neither Spring Holding 1 AS nor Spring Active AS will hold any shares in Acta Holding ASA.

The transactions described will not imply any change to the indirect holding of shares in Acta Holding ASA for Alfred Ydstebø and Fred Ingebrigtsen.`
