POUTTU FOODS ENTIRELY TO HK RUOKATALO'S OWNERSHIP

Outokumpu-based procurement and slaughtering company Pouttu Foods Oy
in  which HK Ruokatalo has a 90 per cent interest is to pass entirely
to HK Ruokatalo's ownership. Pouttu Oy, having a 10 per cent minority
stake in Pouttu Foods, is to sell it's stake to HK Ruokatalo.

Pouttu Foods is an integrated part of HK Ruokatalo's slaughtering
industry division. The proposed arrangement will clarify the situation
and strengthen HK Ruokatalo's position as the leading processor of
Finnish rawmeat material.

Pouttu Foods was established in 1996 as a joint venture by HK
Ruokatalo and Pouttu. It has about 90 employees.
