Hoist Group Holding Intressenter AB (publ) announces the result of the written procedure instigated 7 July 2020
On 7 July 2020 Hoist Group Holding Intressenter AB (publ) (the "Issuer") instructed Nordic Trustee & Agency AB (publ) (the "Agent"), agent for the Issuer's SEK 500,000,000, up to SEK 1,000,000,000, senior secured bonds with ISIN SE0010101576 (the "Bonds"), to instigate a written procedure (the "Written Procedure") to resolve on certain amendments to the terms and conditions of the Bonds (the "Terms and Conditions") and certain amendments to a share pledge agreement in respect of the shares in the Issuer, entered into between the Agent and the Issuer (the "Share Pledge Agreement").
As described in the notice of Written Procedure published by the Issuer and the Agent on 7 July 2020 and distributed to holders of the Bonds ("Bondholders"), the Issuer proposed that Bondholders in the Written Procedure resolved on the potential increase of the permitted size of the Issuer´s working capital facility, certain amendments to the Share Pledge Agreement and a conditional margin adjustment of plus 1.00 per cent per annum (the "Proposal").
Today the Issuer announces Bondholders’ approval of the Proposal.
A sufficient number of Bondholders participated in the Written Procedure to form a quorum and a majority of the Bondholders that voted in the Written Procedure voted in favour of the Proposal. It was therefore resolved that the Proposal has been approved by the Bondholders. The amendments of the Terms and Conditions and the Share Pledge Agreement will become effective immediately.
