Report from IBS' Annual General Meeting, 27 April, 2000 Increased market demand At the IBS Annual General Meeting on 27 April 2000, CEO Staffan Ahlberg informed that the number of enquiries regarding business systems showed considerable growth during the first quarter, and that the number of orders signed during March has developed satisfactorily. The Group is planning for strong revenue and profit development during the second half- year. Staffan Ahlberg was pleased to announce that for 1999, IBS made a record profit, despite a weak market. Last year, IBS was one of the three most profitable business software suppliers in the world. IBS continues to develop its successful business system, ASW, with additional functionality for business to business electronic commerce with integrated logistics and supply chain systems. IBS is also developing business systems using new technology within IBM's development platform, WebSphere. This new technology will stepwise be integrated with ASW. At the end of the year, IBS will start to deliver new software modules for e- business and supply chain operations, based on the new technology. This software will run on AS/400 as well as NT and UNIX-based servers, and can also be integrated with current IBS systems as well as other vendors' systems. The AGM re-elected the Board and the Auditors, and decided in accordance with the Board's proposals regarding: * No dividends * A 5 to 1 split of the share, and a subsequent change in the Articles of Association * Board authorisation for directed new issues within a 10% dilution limit * Warrants programs in the Parent Company and the Internet consulting operations. In accordance with these decisions, the development of the number of shares is as follows: 1/1 14,8m 15/4 15,3m (new issue) 15/5 76,5m (split 5:1) 30/6 79,0m (new subscription via warrants program) In addition, there are 10 million warrants outstanding after 30 June, 2000.
