Industrivärden Employee Stock Option Program The National Swedish Pension Insurance Fund, Fifth Fund Board, has in its ca- pacity as a major shareholder in Industrivärden offered purchase options for Industrivärden shares to all employees of the Parent Company, AB Indus- trivärden. The purpose of the offer is to further encourage employee partici- pation in and commitment to the Company. An allotment of a total of 303,000 stock options was made on March 8, 1999, with 1,000-50,000 options per employee. Each option gives its bearer the right to buy one Class A share of Industrivärden stock at an exercise price of SEK 145 during the period March 15, 1999, through March 15, 2004. Handelsbanken Markets and Öhman Fondkommission have calculated a market price of the op- tions. This price, which is based on the average price of Industrivärden's stock from March 1-March 4, 1999 - SEK 119.25 - has been set at SEK 13.60 per option.
