Board approval of parent-daughter merger

Reference is made to the stock exchange release published by Insr Insurance Group ASA ("Insr") on December 21st 2017, where the company announced that the Boards of directors of Insr and Nemi Forsikring AS ("Nemi") had approved a joint merger plan for the two companies in accordance with the provisions relating to mergers of parent companies and wholly owned subsidiaries. The issuance of 12,857,142 consideration shares to Alpha Insurance A/S ("Alpha") referred to in previous stock exchange releases (latest on 30 November 2017) has now been completed, and the company's share capital has been increased with NOK 10,285,713.60 through the issuance of 12,857,142 new shares, with a nominal value of NOK 0.80 each, at a subscription price of NOK 7.00 per share.
