Notice of written procedure for bonds issued by European Energy A/S
(Stockholm, 2 June 2015)
European Energy A/S has requested that the holders of its senior unsecured bonds with ISIN SE0005677796 approve a proposal to amend the terms and conditions of the bonds regarding the restriction to provide cross collateral.
CorpNordic Sweden AB, acting in its capacity as agent for the holders under the terms and conditions of the bonds, has on request of the issuer on 29 May 2015 initiated a written procedure in which the holders can approve or reject a proposal to amend the terms and conditions of the bonds made by the issuer. The request involves an amendment of the Permitted Security definition in the terms and conditions of the bonds to extend the possibility for the group companies to provide security by way of share pledges in respect of its subsidiaries in order to facilitate ordinary course project financings (which constitutes Permitted Debt (as defined in the terms and conditions of the bonds)).
Voting forms must be received by the agent no later than 17.00 (CET) on 22 June 2015.
To be eligible to participate in the written procedure a holder must fulfill the formal requirements of being a Holder (as defined in the terms and conditions of the bonds) on 5 June 2015.
In consideration of the approval of the proposed request, each holder will receive a consent fee in the amount of EUR 125 per bond. The payment of the consent fee is conditional upon that the proposed request is approved by the holders in the written procedure.
The formal notice of the written procedure has been sent by ordinary mail to direct registered holders and registered authorised nominees in accordance with the terms and conditions of the bonds.
