Notice of written procedure for notes issued by Mobylife Holding A/S (formerly Telecare Service Holding A/S)

Mobylife Holding A/S has requested that the holders of its senior secured notes with ISIN SE0005936382 approve a waiver relating to a certain provision of the terms and conditions of the notes and a proposal to amend and restate the terms and conditions of the notes.
CorpNordic Sweden AB, acting in its capacity as agent for the noteholders under the terms and conditions of the notes, has on request of the issuer on 26 June 2015 initiated a written procedure in which the noteholders can approve or reject a request made by the issuer.
Pursuant to the request a waiver is sought regarding the same breach as was subject to the written procedure initiated on 18 May 2015 (which was subsequently withdrawn by the issuer after negotiations with a group of noteholders), being the breach of the issuer’s obligation under clause 11.1.1 (a) of the terms and conditions of the notes to prepare its audited consolidated annual accounts in accordance with the applicable accounting principles.
Furthermore, the request includes a proposal to amend and restate the terms and conditions of the notes. The main features of the amendments of the terms and conditions of the notes are that the bond debt shall be determined at nominal amount in the leverage ratio calculations, an ease in the leverage ratio requirements combined with a postponement of the first test date and an obligation for the issuer to repurchase parts of the outstanding notes. The request is conditional upon an increase of equity in the issuer of at least DKK 50,000,000 by the current owners.
Voting forms must be received by the agent no later than at 17.00 (CET) on 17 July 2015.
To be eligible to participate in the written procedure a noteholder must fulfill the formal requirements of being a Noteholder (as defined in the terms and conditions of the notes) on 3 July 2015.
The formal notice of the written procedure has been sent by ordinary mail to direct registered noteholders and registered authorised nominees in accordance with the terms and conditions of the notes.
