Notice of written procedure for notes issued by Scandinavian Air Ambulance Holding AB (publ)

Scandinavian Air Ambulance Holding AB (publ) has requested that the holders of its senior unsecured notes with ISIN SE0005249679 approve a proposal for amendment of the terms and conditions of the notes to make an exemption from the noteholders’ right to redemption of the notes for a specified change of control of the issuer and an extension of the period for the listing of the notes.

CorpNordic Sweden AB, acting in its capacity as agent for the noteholders under the terms and conditions of the notes, has on request of the issuer on 23 April 2014 initiated a written procedure in which the noteholders can approve or reject a request made by the issuer. The request involves an amendment of clauses 11.3.1, 9.5.1 and 9.5.2 of the terms and conditions of the notes to make an exemption from the noteholders’ right to request redemption of the notes due to a change of control of the issuer following a sale of shares in the issuer to Avincis Mission Critical Services, Scandinavia AB and an extension of the period for listing of the notes to 15 October 2014.

Voting forms must be received by the agent no later than 15 May 2014.

To be eligible to participate in the written procedure a holder must fulfill the formal requirements of being a Noteholder (as defined in the terms and conditions of the notes) on 28 April 2014.

The formal notice of the written procedure has been sent by ordinary mail to direct registered noteholders and registered authorised nominees in accordance with the terms and conditions of the notes.
