Scandinavian Air Ambulance Holding AB (publ) - Proposal approved by noteholders

Holders of Scandinavian Air Ambulance Holding AB´s (publ) senior unsecured notes with ISIN SE0005249679 have approved a proposal for amendment of the terms and conditions of the notes. 

CorpNordic Sweden AB, acting in its capacity as agent for the noteholders under the terms and conditions of the notes, initiated on 23 April 2014 a written procedure in which the noteholders could approve or reject a request made by the issuer. The request involved an amendment of clauses 11.31, 9.5.1 and 9.5.2 of the terms and conditions of the notes to make an exemption from the notholders' right to request redemption of the notes due to a change of control of the issuer following a sale of shares in the issuer to Avincis Mission Critical Services, Scandinavia AB and an extension of the period for listing of the notes to 15 October 2014. 

The written procedure was closed on May 15 2014 at which point the issuers request had been adopted with a majority of the votes. The amendments are effective as of 16 May 2014. 

A formal notice of the outcome has been sent by ordinary mail to direct registered noteholders and registered authorised nominees in accordance with the terms and conditions of the notes. The amended terms and conditions can be downloaded from the agent's webpage www.corpnordic.com.
