Annual General Meeting of Intrum Justitia AB

Summary of the decisions taken at the Intrum Justitia AB (publ) Annual General Meeting. The AGM was held today in Stockholm with around 30 people in attendance. The meeting was chaired by attorney Sven Unger.

“Intrum Justitia is the market leader in most of the countries were we have operations. This means that we have better opportunities than most of our competitors to create an efficient operation. Motivated staff, satisfied customers and cost efficient processes are the key factors which has made the year 2005 another record year. The positive trend continued in the first quarter this year”, said Intrum Justitia’s President and CEO Jan Roxendal in his address. Dividend The Annual General Meting approved the Board of Directors’ proposal for dividend of SEK 2.25 per share, with 28 April 2006 as the record date. The dividend is estimated to be paid out through VPC on 4 May 2006. Election of the Board of Directors The Annual General Meeting resolved, in accordance with the Nomination Committee’s proposal, that the number of Board Members be eight (8) with no deputy Board Members. Sigurjón Th. Árnason, Helen Fasth-Gillstedt, Lars Förberg, Bo Ingemarson and Jim Richards were re-elected Board Members. Lars Lundquist, Michael Wolf and Lars Wollung were elected new Board Members. Lars Lundquist was elected Chairman of the Board and Bo Ingemarson Deputy Chairman. Lars Lundquist was formerly Executive Vice President and Chief Financial Officer of the SEB Group. His work experience extends over 32 years in a number of banks, securities brokers and insurance companies. He is Chairman of the Boards of JM AB and Försäkrings AB ERIKA and Board Member of the Swedish Heart and Lung Foundation. Michael Wolf is Executive Vice President of Försäkrings AB Skandia, responsible for the European and Latin American Division. During the years 1985–1998 he was employed within the Merchant Bank of the SEB Group. Lars Wollung is President and Chief Executive Officer of the management and IT consultancy company AcandoFrontec, of which he was one of the founders in 1999. He previously worked as management consultant at McKinsey&Company and has been a self-employed consultant in capacities as temporary line manager and with various directorships. Remuneration to the Board of Directors The Annual General Meeting adopted the Nomination Committee’s proposal for remuneration to the Board of Directors for 2006 as follows. A remuneration to the Board of Directors of a total of SEK 2,200,000, of which SEK 500,000 shall be paid to the Chairman of the Board, and SEK 200,000 to each of the other Board Members, with an additional SEK 300,000 as fees for performed committee work. Principles of remuneration and other terms of employment for senior management The Annual General Meeting resolved to approve the Board of Directors’ proposal for principles of remuneration and other terms of employment for senior management, the main principle being that Intrum Justitia shall offer market terms, enabling the Group to recruit and retain senior executives with excellent competence and capacity for achieving established goals. Nomination Committee in respect of the Annual General Meeting 2007 The Annual General Meeting approved the Board of Director’s proposal, entailing in summary that the Chairman of the Board of Directors shall convene the five largest shareholders of the company, with respect to voting power, at the end of the third quarter of the year. These shareholders then have the right to appoint a member each of the Nomination Committee. The Committee shall be chaired by one of its members. No more than two of the Committee's members may also be members of the Board of Directors. Information regarding the composition to the Nomination Committee shall be made public in the company's interim report for the third quarter. Adoption of the profit and loss statements and balance sheets 2005 and discharge from liability The profit and loss statements and balance sheets for 2005 were adopted and the Board and the Managing Director were discharged from liability for the administration of the company for the year 2005. Amendments to the Articles of Association The Annual General Meeting resolved, in accordance with the Board of Directors’ proposal, to amend the Articles of Association in order to adapt them to the new Companies Act, which entered into force on 1 January 2006.
