Extraordinary General Meeting adopts resolutions for payment of approximately SEK 590 M to shareholders through redemption of shares

On 27 April 2005 the Annual General Meeting of Intrum Justitia AB (publ) resolved to implement a share redemption offer with a right for the shareholders in Intrum Justitia to redeem shares in the company against cash payment of SEK 84 per share. During the application period, 7,029,353 shares in Intrum Justitia were tendered for redemption, representing an acceptance level of 99.25 percent, corresponding to a value of approximately SEK 590 million. In accordance with the proposal of the Board of Directors, the Extraordinary General Meeting has today adopted the following resolutions required for the redemption offer and payment to the shareholders: (a) Resolution on a reduction of Intrum Justitia’s share capital by SEK 140,587.06 through redemption of 7,029,353 ordinary shares. (b) Resolution on a reduction of Intrum Justitia’s share premium reserve by SEK 590,325,064.94. For each redeemed share SEK 84 will be paid, i.e. a total of SEK 590,465,652. (c) Resolution on an increase in Intrum Justitia’s share capital by SEK 140,587.06 through a new issue of 7,029,353 redeemable shares of series C to Svenska Handelsbanken. The subscription price per share of series C will be SEK 84 of which SEK 0.02 corresponds to the par value and SEK 83.98 corresponds to a share premium. (d) Resolution on a reduction of Intrum Justitia’s share capital by SEK 140,587.06 through redemption of all of the shares of series C issued under item (c). (e) Resolution on a reduction of Intrum Justitia’s share premium reserve by SEK 590,325,064.94 The shares of series C will be redeemed at a redemption price of SEK 84 per share, of which SEK 0.02 corresponds to the par value and SEK 83.98 to a share premium, adjusted with an interest rate corresponding to STIBOR 30 days plus 0.5 percentage points. The resolutions in sections (c) – (e) above were adopted to achieve faster payment of the redemption amount to the shareholders. Following registration of the resolutions above with the Swedish Companies Registration Office (Bolagsverket), the share capital in Intrum Justitia will amount to SEK 1,559,125.02, divided on 77,956,251 ordinary shares. The redemption amount is scheduled to be paid to the shareholders around 30 June 2005.
