Summons to the Investor AB AGM on April 14, 1999

ANNUAL GENERAL MEETING OF INVESTOR AB Shareholders of Investor AB (publ) are hereby summoned to the Annual General Meeting to be held on Wednesday, April 14, 1999, at 6 p.m. at Kungliga Tennishallen (The Royal Tennis Hall), Lidingövägen 75, Stockholm, Sweden. Doors will be opened and registration for the Meeting will commence at 4.30 p.m.. Participation To be entitled to participate in the business of the Meeting, shareholders must - be recorded in the register of shareholders maintained by Värdepapperscentralen VPC AB (the Swedish Securities Register Center) no later than Thursday, April 1, 1999 and - notify the Company of their intention to attend the Meeting no later than 1 p.m. on Friday, April 9, 1999, by writing to Investor AB, SE-103 32 Stockholm, Sweden, or calling +46 8 611 29 10. When giving notice of attendance, please indicate name, date of birth, address and telephone number. In order to facilitate registration at the Meeting, powers of attorney, certificates of registration and other documents of authority should be received by the Company well in advance of the Meeting and preferably in conjunction with notice of attendance. Investor AB´s shareholders have their shares registered either in their own names or in the name of a nominee. Shareholders whose shares are registered in the name of a nominee with the trust department of a bank or similar institution must, in order to be entitled to participate in the Meeting, request that their shares be temporarily re-registered in their own names in the register of shareholders maintained by VPC on Thursday, April 1, 1999. Shareholders are requested to inform their nominees in due time prior to this date. Agenda 1. Election of the Chairman of the Meeting. 2. Drawing up and approval of the voting list. 3. Approval of the agenda and points of order. 4. Election of two persons to attest to the accuracy of the minutes. 5. A decision on whether proper notice of the Meeting has been made. 6. The President's address. 7. Presentation of the Parent Company's annual report and the auditors' report, as well as of the consolidated financial statements and the auditors' report for the Investor Group. 8. Adoption of the Parent Company's income statement and balance sheet, as well as of the consolidated income statement and the consolidated balance sheet of the Investor Group. 9. Discharge from liability of the Members of the Board of Directors and the President. 10. Disposition of the Company's earnings in accordance with the approved balance sheet and determination of a record date for dividends. 11. A decision on the number of Members of the Board of Directors and deputy directors who shall be elected at the Meeting. 12. A decision on the compensation that shall be paid to the Board of Directors and auditors. 13. Election of Members of the Board of Directors and deputy directors. 14. The Board of Directors' proposals for decisions regarding a split and other amendments to the Articles of Association. 15. Election of auditors and deputy auditors. 16. Conclusion of the Meeting. The Board of Directors' proposals for decision Item 10 Dividend and record date The Board of Directors and the President propose a dividend to shareholders of 11.00 Swedish kronor per share and that Monday, April 19, 1999, shall be the record date for payment of dividend. Should the Meeting decide in favor of the proposal, payment of the dividend is expected to be made by VPC on Monday, April 26, 1999. Item 14 Amendments to the Articles of Association The Board of Directors' proposed amendments to the Articles of Association are due to (i) the proposed 4:1 split, whereby each existing share will be divided into four shares of the same class as the existing share, (ii) new provisions in the Swedish Companies Act which came into force on January 1, 1999. The amendments will primarily mean as follows: Amendments due to the proposed split § 4 The maximum number of shares that may be issued of Class A and Class B respectively will be changed from 324,000,000 to 1,296,000,000. § 5 The par value of each share will be changed from twenty-five (25) Swedish kronor to six Swedish kronor and twenty-five öre (6.25). Other changes due to new provisions in the Swedish Companies Act § 8 The terms of office of the auditors appointed by the Annual General Meeting will be extended from one year to four years. § 10 A new item, regarding approval of the Agenda, will be inserted as Item 3 among matters to be dealt with at the Annual General Meeting. Since the term of office for the Company´s auditors will be extended to four years, it is proposed that the agenda item on election of auditors be amended so that it states that election of auditors will only take place where appropriate and thus not at every Annual General Meeting. § 13 The present rule regarding the time and manner of a notice convening the Annual General Meeting will be deleted and replaced by the following rule: "Notice of the Annual General Meeting and of an extraordinary general meeting at which the question of amendment to the Articles of Association will be considered shall be issued no more than six and no less than four weeks prior to the Meeting. Notice to any other extraordinary general meeting shall be issued no more than six and no less than two weeks prior to the Meeting. Notice of the Annual General Meeting shall be published in the Official Swedish Gazette (Post- och Inrikes Tidningar) as well as in Dagens Nyheter, Svenska Dagbladet or another national daily newspaper." §14 will be amended so that the final day for notification of attendance at the Annual General Meeting may not fall earlier than the fifth "weekday" (former wording "day") prior to the Meeting. A new rule will be inserted stating that shareholders attending the Annual General Meeting may be accompanied by one or two assistants, although only if the shareholder has given prior notification of this. Other proposals for decision Proposals under Items 11, 12, 13 and 15 Regarding the number of Board members, compensation to the Board of Directors and auditors, and election of the Board members and auditors, shareholders who jointly represent more than 50 percent of the voting rights for all the shares in the Company, have declared their intention to vote for the following proposals: Ten Board members and no deputies. A total compensation to the Board of Directors of 3,150,000 Swedish kronor to be divided as decided by the Board. Auditors' fees to be paid upon approval of their account. The following members are proposed for re-election: Percy Barnevik, Claes Dahlbäck, Håkan Mogren, Mauritz Sahlin, Anders Scharp, Peter D. Sutherland, Björn Svedberg, Michael Treschow, Jacob Wallenberg and Marcus Wallenberg. Board member Bo Berggren has declined re-election. Re-election is proposed for the auditors Caj Nackstad and Gunnar Widhagen as well as for the deputy auditors Thomas Thiel and Björn Fernström, for the period until the end of the 2003 Annual General Meeting. Stockholm, March 1999 The Board of Directors As a service to those shareholders who are unable to attend Investor AB´s Annual General Meeting in person, the intention is to send the Annual General Meeting live on the Internet to those shareholders who are registered in the share register maintained by VPC on April 1, 1999, and who have notified their interest in following the Annual General Meeting on the Internet. Notification of interest in following the Annual General Meeting on the Internet must be made via Investor AB´s website www.investor.se no later than 1 p.m. on Friday, April 9, 1999. It is not possible to participate in any debate or voting procedures via the Internet.
