Extraordinary general meeting held in Inzile AB (publ)

At the extraordinary general meeting in Inzile AB (publ) (the “Company” or “Inzile”) held today, on 17 December 2020, substantially the following resolutions were passed in accordance with the proposals presented in the notice to attend the meeting kept available at the Company’s website www.inzile.com.

The extraordinary general meeting resolved:

  • to implement a long term incentive programme in the form of a maximum of 172,425 employee stock options (each employee stock option entitles the holder to acquire one (1) new share in the Company against payment of SEK 100 per share during the first quarter of the year 2025) for employees, including a directed issue of warrants in order to enable delivery of shares, and approval of transfer of the warrants and/or shares that have been issued following the exercise of warrants for delivery of new shares to the participants in the employee stock option programme;
  • on an authorization for the board of directors to increase the share capital through issuance of new shares, warrants and/or convertibles through which the Company’s share capital and the number of shares in the Company may be increased by a total amount and number of shares corresponding to a maximum of 50 per cent of the share capital and number of shares in the company, as of the date of the notice to attend the general meeting. The authorization replaces the authorization that the board of directors received at the annual general meeting held on 12 June 2020;
  • on changes to the articles of association (i) regarding the limits with respect to share capital (from not less than SEK 560,000 and not more than SEK 2,240,000 to not less than SEK 1,700,000 and not more than SEK 6,800,000) and number of shares (from no less than 5,600,000 shares and no more than 22,400,000 shares to no less than 17,000,000 shares and no more than 68,000,000 shares), (ii) by introducing a provision on the collection of proxy forms and postal voting, and (iii) regarding the prerequisites for participating in shareholders’ meetings.
