Josemaria Extends Maturity Date of 2018 Facility and Provides Share Capital and Voting Rights Update

VANCOUVER, April 30, 2020 /CNW/: Josemaria Resources Inc. (TSX: JOSE) (OMX: JOSE) (“Josemaria Resources” or the “Company”) reports that it has entered into an agreement (the “Agreement”) to extend the maturity date of its US$5,000,000 credit facility (the “2018 Facility”) evidenced by a debenture issued to Zebra Holdings and Investments S.à.r.l.(“Zebra” or the “Lender”) by the Company dated as of October 5, 2018 (the “US$5 Million Debenture”). Pursuant to the Agreement, the US$5 Million Debenture’s maturity date has been extended from May 5, 2020 to December 12, 2020 (the “Extended Maturity Date”).

The terms of the 2018 Facility include the Company issuing to the Lender 500 common shares of the Company (“Common Shares”) per month for each $50,000 of the 2018 Facility drawn down and outstanding from time to time.   No interest is payable in cash during the term of the US$5 Million Debenture and any amount of the 2018 Facility remaining unpaid and outstanding on or after the Extended Maturity Date shall bear interest at a rate of 5.00% per annum until repaid in full.

As a result of the Extended Maturity Date and subject to the approval of the Toronto Stock Exchange (the “TSX”), up to an additional 343,269 Common Shares will be reserved for issuance pursuant to terms of the US$ 5 Million Debenture and the extension of the 2018 Facility. All securities issued in conjunction with the 2018 Facility will be subject to a four-month hold period under applicable securities law.

Related Party Transactions

The Lender is a company controlled by a trust settled by the late Adolf H. Lundin and an insider of the Company. The issuance of Common Shares to an insider and the entering into of the Agreement with the Lender to extend the maturity date of the US$5 Million Debenture each constitute a "related party transaction" pursuant to Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions ("MI 61-101"). The Company is relying on the exemption from minority shareholder approval requirements under MI 61-101, as the fair market value of the Common Shares to be issued to the Lender as a result of the Agreement does not exceed 25% of the market capitalization of the Company, as determined in accordance with MI 61-101.

Share Capital and Voting Rights Update

In addition, in accordance with the Swedish Financial Instruments Trading Act, the Company also reports that as a result of the issuance of common shares pursuant to the terms of previously announced credit facilities, the number of issued and outstanding shares of the Company has increased to 251,535,683 Common Shares with voting rights as at April 30, 2020.
