At the extraordinary general meeting held in Klaria Pharma Holding AB (publ) today on 30 November 2022, it was resolved to approve the board of directors’ resolution on issuance of shares with preferential rights for the shareholders (in accordance with the proposal presented in the notice to attend the meeting kept available at the company’s website www.klaria.com).

The extraordinary general meeting resolved to approve the board of directors’ resolution made on 14 November 2022 on issuance of shares with preferential rights for the shareholders. As announced on 14 November 2022, the terms of the rights issue resolved by the board of directors entail that each existing share in the company held on the record date December 5, 2022, entitles to one (1) subscription right and one (1) subscription right entitles to subscription for one (1) new share. The rights issue comprises a maximum of 59,166,957 new shares, entailing that the company’s share capital may increase by a maximum of SEK 986,115.967762.

The subscription price amounts to SEK 1.25 per share. Through the rights issue, the company can receive proceeds amounting to a maximum of approximately SEK 74.0 million before issuing costs, which are estimated to amount to approximately SEK 10.5 million. The subscription period runs during December 7 – 21, 2022. Additional information regarding the rights issue will be available in the EU growth prospectus which is expected to be published around December 2, 2022.
