Klimator is provided with SEK 20 million in rights issue

The Board of Directors of Klimator AB ("the Company" or "Klimator") today announces the outcome of the issue of shares with preferential rights for the Company's shareholders that was published on November the 25th, 2022 (the "Rights Issue"). The Rights Issue was subscribed for 48,85 percent with and without the support of subscription rights. In total, 5 998 977 shares were subscribed with the support of subscription rights, corresponding to approximately 45,13 percent of the Rights Issue, and 495 113 shares without the support of subscription rights, corresponding to approximately 3,72 percent of the Rights Issue. The guarantee commitments will therefore be partially used, which means that the guarantors will be allocated 3 922 577 shares in total, corresponding to approximately 29,50 percent of the offered shares. SEK 2,8 million of the Rights Issue consists of offsetting of debt in the form of issued convertibles and SEK 0,3 million consists of offsetting of guarantee-compensation. Klimator will thus be provided with a total of approximately SEK 20 million before issue costs and offsetting of debt.

Outcome of the Rights Issue

The subscription period for the Rights Issue ended on the 19th of December 2022 and the outcome shows that the Rights Issue was subscribed to approximately 48,85 percent with and without the support of subscription rights. In total, 5 998 977 shares were subscribed with the support of subscription rights, corresponding to approximately 45,13 percent of the Rights Issue, and 495 113 shares without the support of subscription rights, corresponding to approximately 3,72 percent of the Rights Issue. The guarantors will receive 3 922 577 shares in total, corresponding to approximately 29,50 percent of the shares offered. A total of 10 416 667 shares are allocated in the issue. Issuance costs in connection with the Rights Issue are expected to amount to approximately SEK 3 million.

 

The proceeds are mainly to be used in order to finance the Company's aggressive growth journey, as well as to strengthen the equity. Notification of allocation of shares subscribed without the support of subscription rights is sent to those allocated shares in the form of a settlement note. Trustee-registered shareholders receive notification of allocation in accordance with the respective trustee's routines. Allotment of shares subscribed without the support of subscription rights has been carried out in accordance with the principles stated in the published information memorandum.

 

Number of shares and share capital

After the Rights Issue has been registered with the Swedish Companies Registration Office, the total number of shares in the Company will increase by 10 416 667 and amount to 25 924 751. The share capital will increase by SEK 520 833,35 and amount to SEK 1 296 237,55 after the registration.

 

Trade with paid subscribed shares

Trading in paid subscribed shares (BTA) on Nasdaq First North Growth Market will continue until the Swedish Companies Registration Office registers the Rights Issue and the BTA is converted into shares, which is expected to happen around week 2, 2023.
