Knowit publishes prospectus

On 5 May 2021, Knowit Aktiebolag (publ) announced the acquisition of Cybercom Intressenter AB (“Cybercom“). The total consideration amounts to approximately SEK 2.2 billion1 of which approximately SEK 442 million is paid in cash and through a non-cash issue of 5,760,883 newly issued shares to the sellers of Cybercom. At the Extraordinary General Meeting on 28 May 2021, the Board of Directors was authorized to carry out the non-cash issue.

The prospectus that has been prepared in connection with the admission to trading on Nasdaq Stockholm of the 5,760,883 shares in the forthcoming non-cash issue (the “Prospectus”) has been approved and registered by the Swedish Financial Supervisory Authority, and is available on Knowit’s website https://www.knowit.eu/investor-relations/. Within a couple of days the Prospectus will also be published in the Swedish Financial Supervisory Authority's prospectus register, www.fi.se.

1The total consideration corresponds to SEK 2.4 billion on a cash and debt-free basis (enterprise value), based on the average volume-weighted share price for Knowit’s share on Nasdaq Stockholm for each day during the ten trading days immediately preceding the day of signing of the share purchase agreement. Cybercom’s net debt at the time of the acquisition amounts to approximately SEK 238 million.
