Kriptown SAS, a company incorporated under the laws of France (the “Offeror” or “Kriptown”) hereby announces a recommended public cash offer to the shareholders of Spotlight Group AB (“Spotlight Group” or the “Company”), to tender all their shares in Spotlight Group to the Offeror (the “Offer”).Summary of the Offer   •         The Offeror offers SEK 33.00 in cash for each share in Spotlight Group (the “Offer Price”). •         The Offer Price represents a premium of: –        94 per cent compared to the closing price of SEK 17.00 on Spotlight Stock Market on 16 June 2026, being
