Decisions made at Framfab's Annual General Meeting held on May 4th 2001 The following decisions were made at Framfab's Annual General Meeting held on May 4th, 2001: * A new Board was elected featuring leading international figures from EDS and antfactory. * Authorisation for the Board to issue shares and warrants in accordance with an agreement with CSFB. * Authorisation for the Board to issue promissory notes linked to detachable warrants. This is in accordance with previously agreed options scheme for employees. If carried out in full, the issue will not mean any additional dilution in relation to the decisions made at the Extraordinary General Meeting held on October 11th 2000. * A decision was made regarding an issue of 1,699,500 shares concerning Production Media Lab Svenska AB. * Authorisation for the Board to carry out new share issues of a maximum 15 million shares to finance company acquisitions. If fully exercised the new issues will mean a 9.2% dilution of capital stock and votes. * The meeting voted to discharge the Board and CEO from liability. The new Board consists of: Sven Skarendahl, previously head of European Operations Intermec Technologies Corporation Johan Wall, CEO, Framfab Robert Gogel, deputy Chairman, Antfactory Kaj Green, CEO, EDS Norden The new Board will be constituted at its first meeting held immediately after the AGM. The following people left the previous Board of Directors: CW Ros, chairman, Jonas Birgersson, deputy chairman, and Board members Meg Tivéus, Ken Ceder and Paul L. Saffo III.
