Framfab Acquires an Additional 10 per cent in Framfab S.p.A Framfab acquires an additional 10 per cent in the Italian company Framfab S.p.A. and now holds a total of 11 per cent of the shares in the company. Framfab also has an option to acquire the whole company in several steps over the next 1,5 years. If Framfab so chooses, the company can acquire more shares in April, to a total holding of 51 per cent of Framfab S.p.A. The current transaction together with the acquisition in April will in that case result in a total purchase-sum of approx. 4.7 million Framfab shares. The purchase-sum for the remaining 49 per cent depends on Framfab S.p.A.'s revenue and profitability over the coming 1,5 years. Today, six months after the founding, Framfab S.p.A. has 102 employees. The Italian market continues to be strong and the company is expected to have a positive cash flow in March. Framfab's sales office in Rome has been merged with Framfab S.p.A. in conjunction with the current acquisition. This means that Framfab is now represented in Milan, Turin and Rome. Framfab S.p.A.'s clients include Italy's dominant energy company Enel, Alitalia (Sigma), Thyssen (AST), and the mobile network operator Blu. Two of Framfab's registered insiders have provided Framfab shares as a loan to facilitate the transaction. These shares have been given to the sellers of Framfab S.p.A. as a security during the time it takes to issue new Framfab shares. Ken Ceder has provided 2,900,000 shares, and Peter Svanfeldt has provided 406,446 shares. This means that the insiders have not sold any shares, and the shares will be given back to them no later than February 22. The share loan will be registered on the insider list of the Swedish Financial Supervisory Authority during the day.
