Framfab Nomination Committee proposals

After consultation with all major shareholders, Framfab’s Nomination Committee issues its proposal regarding the new enlarged Board of Framfab AB to be elected at the Extra General Meeting to be held on 28th November 2005.

On Monday 3rd October Framfab received a request from LB Icon, a shareholder owning approximately 15% of the share capital and votes in the company, to call an EGM to elect new members to the Board of Framfab. On October 17th Framfab duly called for an EGM in accordance with the Swedish Companies Act. The EGM has been scheduled for 5 PM on Monday, 28th November 2005, at Clarion Hotel, Ringvägen 98, Stockholm, with record date of 18th November, 2005. After consultation with the major shareholders and in agreement with LB Icon, the Nomination Committee proposes the following board composition: Katarina G. Bonde Steve Callaghan Robert Gogel Kaj Green Lucas Mees (new) Arne Myhre (new) Sven Skarendahl LB Icon, not only being a major shareholder but also an important player in the same industry, was asked to propose independent candidates; brief profiles of the two new candidates are outlined below: Lucas Mees (born 1944 in Australia) spent much of his extensive marketing career at Unilever both in Europe and Asia. Mr. Mees then joined DDB Worldwide as the President of Northern and Central Europe. He is a management advisor to Young and Rubicam, a subsidiary of WPP, in Europe. Mr. Mees is also a member of the Supervisory Board of Nethave, a private investment company. Lucas Mees is resident in France. Arne Myhre (born 1963 in Norway) has since 1987 worked for European multinational companies, institutions and investors regarding corporate strategy. Since 1994, Mr Myhre worked with the expansion of communication and IT service companies in the European market. In 1999, Mr Myhre co-founded Autika, a holding company for web marketing agencies. Previous positions include advisor to the automotive parts manufacturer Permec Group, management consultant with Indevo, and assignments for the European Commission. Arne Myhre is resident in Brussels, Belgium. The proposal has the support of major shareholders holding (including LB Icon) approximately 30 % of the outstanding shares and votes in Framfab. As outlined in the Press Release of 17th October 2005, any shareholder wishing to attend the meeting must - be entered into the stock register kept by VPC AB by 18th November 2005 (A shareholder whose shares are registered in the name of an authorized agent must request temporary entry in the stock register; the shareholder must so inform the authorized agent well ahead of 18th November 2005). - notify the Company by 4 PM on 22nd November, 2005 by writing to Framfab AB (publ), attn: Anita Hallgren, Box 38078, SE-100 64 Stockholm, Sweden, faxing to +46 8 411 65 95, calling + 46 8 41 00 10 39 or e-mailing to anita.hallgren@framfab.com. Notification should include the shareholder’s name, civic registration no. or corporate identification no., address, phone number and the number of representatives. If attendance is based on Proxy, authorization should be submitted along with the notification.
