Notice of Extraordinary General Meeting FRAMTIDSFABRIKEN AB (publ) Shareholders in Framtidsfabriken AB (publ) are hereby invited to the Extraordinary General Meeting of the company to be held on Tuesday, 22 May 2001 at 5 p.m. at "Bonnierhuset", Torsgatan 21, Stockholm, Sweden. Notification Shareholders who wish to attend this General Meeting must be listed in the shareholders' register maintained by VPC AB on Friday, 11 May 2001 and must also notify the company of their intention to participate no later than 4 p.m. on Thursday, 17 May 2001. Said notification is to be sent to the company at the following address: Framtidsfabriken AB (publ), Attn: Frida Bengtsson, Kungsgatan 27, Box 5496, 114 84 Stockholm, Sweden. Notification can also be sent by fax on +46 8 20 28 08, by telephone on +46 8 545 28 359 or by e-mail to frida.bengtsson@framfab.se. The notification must include the shareholder's name, civic registration number or company registration number, address and (daytime) telephone number as well as a statement of the registered shareholding. In addition, the number of persons wishing to attend (no more than two) must be stated. Nominee shareholders must temporarily re-register the shares in their own name with VPC to be entitled to participate at this General Meeting. Such shareholders must inform their broker of their intention in good time before Friday 11 May 2001, as the required change in registration must be effected by VPC. Proposed agenda 1. Opening of the Meeting 2. Election of Chairman for the General Meeting 3. Preparation and approval of the voting list 4. Approval of the agenda 5. Election of one or two people to attest to the accuracy of the minutes 6. Determination of whether the Meeting has been properly convened 7. Presentation of documentation in line with paragraph 4, chapter 4 of the Swedish Companies Act 8. Approval of the Board's decision concerning the stock issue without preferential rights for existing shareholders 9. Approval of the Board's decision concerning the stock issue with preferential rights for existing shareholders 10. Proposal from the Board concerning the release of shares in Framfab Bulgaria OOD to the employees of Framfab Bulgaria OOD. 11. Closure of the Meeting. Approval of the Board's decision concerning stock issues (items 8 and 9) On 6 May 2001, the Board took a decision - conditional upon the approval of the General Meeting - to implement a new stock issue targeted at strategic and financial investors whereby the share capital would be increased by the sum of SEK 17,500,000 through the issue of 175,000,000 shares, and to implement a preferential stock issue which would entitle existing shareholders in the company to subscribe for one new share for each share they currently hold, thus increasing the company's share capital by a minimum of SEK 10,000,000 although to no more than twice its present value. The record day with regard to the shareholders' preferential right is to be 29 May 2001. Subscription for shares issued through the targeted new stock issue is to be made from 9 through 27 May 2001. The subscription period for the preferential stock issue is to run from 5 through 19 June 2001. The issue price for the new shares shall be SEK 1 per share. The targeted stock issue is conditional upon the preferential stock issue being subscribed to a minimum value of SEK 100,000,000, and the preferential stock issue is conditional upon the targeted stock issue being subscribed to the sum of SEK 175,000,000. Miscellaneous The decision under item 8 requires the approval of shareholders representing at least two-thirds of the votes cast and at least two- thirds of the share capital represented at the General Meeting. The decision under item 10 is subject to legislative requirements (1987:664) concerning specific targeted stock issues from publicly registered companies and requires the approval of shareholders representing at least nine-tenths of the votes cast and at least nine-tenths of the share capital represented at the General Meeting. The decision of the Board with regard to the new stock issues in relation to items 8 and 9 above, and the documentation in line with paragraph 4, chapter 4 of the Swedish Companies Act will be available in full as from Tuesday 15 May 2001 at the company's office at the address Kungsgatan 27, Stockholm, Sweden. These documents will also be sent by post to all shareholders who request them and supply their postal addresses.
