LED iBond publishes prospectus and initiates rights issue

Further to company announcement no. 14, 22 February 2021, and the resolutions by the extraordinary general meeting of LED iBond International A/S (LED iBond) today as described in company announcement no. 18, the company’s Board of Directors have resolved to initiate a rights issue for 3,172,965 new shares at a ratio of 1:4, i.e. 4 subscription rights for 1 share, and an issue price of DKK 18 per share.

Key terms of the offering

  • The offering is for 3,172,965 new shares with preferential rights for existing shareholders.
  • For each existing share, one subscription right will be allocated.
  • Four subscription rights will entitle the holder to subscribe for one new share at the issue price of DKK 18 per share.
  • Gross proceeds from the offering, if fully subscribed, is DKK 57.1 million.
  • Subscription undertakings of DKK 8.9 million and underwritings of DKK 36.8 million have been obtained, corresponding to 80% of the offering.
  • The subscription period is 6 April –19 April 2021.

Revised subscription period for the offering

As stated above, the previously announced subscription period for the offering has been rescheduled to the period 6 April – 19 April 2021.
