NEWS RELEASE FROM THE ANNUAL GENERAL MEETING OF AB LINDEX ON 18 JANUARY 2001 Dividend The Annual General Meeting approved the proposed dividend of SEK 5.00 (4.00) per share. The AGM also resolved that Tuesday 23 January will be the record day for the dividend. Directors and Auditors The number of Board Members elected by the AGM was fixed at seven. Birgitta Johansson-Hedberg, Gerard H De Geer, Marie Ehrling, Hans Johansson, Tommy Persson Svein Ribe-Anderssen and Erik Stensrud were re- elected as Board Members. The employees of the company - in accordance with legislation regarding representation on the Board for the employees - have appointed Karin Larsson and Rigmor Lindbäck Employee Representatives on behalf of the Swedish Union of Commercial Employees. Alice Eriksson of the Swedish Union of Commercial Employees and Rune Lindstrand of the Union of Commercial Salaried Employees have been appointed Deputy Employee Representatives. Nomination Committee The Members of the Nomination Committee, Birgitta Johansson-Hedberg, Ramsay Brufer, Björn Lind and Ola Uhre were re-elected. The task of the Nomination Committee is to submit proposals for election of Members and remuneration for the company's Board of Directors at the next Annual General Meeting. Incentive scheme On the proposal of the Board of Directors the Annual General Meeting resolved to adopt a new proposal for an incentive scheme for senior executives within the Lindex Group as well as resultant acquisitions and transfers of the company's own shares. The intention is to launch a scheme which will promote an increased value of Lindex in the long term by further strengthening the executives' commitment and stimulating competence development. In addition, the programme will lead to greater opportunities for keeping and recruiting competent staff. The scheme is based on issuing warrants for Lindex shares. To secure the value of the issued warrants cost-efficiently, AB Lindex intends to buy back own shares in order to have access to shares when the warrant holders wish to exercise their warrants. The proposed incentive scheme relates to the period 1 September 2000 - 31 August 2001. The warrants will have a duration of three years and may not be exercised until two years after the date of issue. Inaugural Board Meeting At the Inaugural Board Meeting, which was held following the AGM, Birgitta Johansson-Hedberg was re-elected Chairwoman.
