Loyal Solutions A/S intend to list the company at Nasdaq First North Growth Market Stockholm during the second quarter in 2021

Loyal Solutions A/S (”Loyal Solutions” or ”the Company”) hereby announces the Company’s intention to carry out a listing on Nasdaq First North Growth Market in Stockholm (“First North”) during Q2 2021. Loyal Solutions markets the SaaS technology platform LoyalTfacts®, which enable clients to enjoy new ancillary revenue streams, increase current ones and improve their customer loyalty. In order to expand the business further, Loyal Solutions is now preparing for a capitalization prior to the planned listing on First North in Sweden during Q2 2021. Loyal Solutions has subsequently appointed Sedermera Fondkommission as financial advisor, Markets & Corporate Law Nordic AB as legal advisor, and Nordic Issuing as issuing agent in connection with the capitalization and the planned listing.

About the Company and the motive for the capitalization and listing

Loyal Solutions started its activities in 2009 and delivers the market-leading Software-as-a-Service (“SaaS”) platform LoyalTFacts®, which enables clients to enjoy new ancillary revenue streams increase current ones and improve their customer loyalty. The Company offers all the services and technologies needed to implement a successful program and has gained extensive experience in designing, implementing, and operating large local, regional, or global loyalty programs. The Company also offers and enables merchant-funded programs which are very attractive to clients.

Being easily connected to clients existing services and systems, LoyalTfacts® is not limited to a certain type of industry. Currently the Company`s focus is on five specific industries – Airline, FinTech, Hospitality, Malls and Telecom. The Company also offers full outsourcing options, which makes implementation of a full loyalty program seamless and easy for our clients. LoyalTfacts® is real-time integrated to the three big payment providers Visa, Mastercard, and American Express and thus capable of reaching billions of potential users instantly.

The majority of the Company’s clients are large global brands operating in different industries globally, incl. SAS EuroBonus (approx. five million members), Etihad Airways Group (more than ten million members), Accor Hotel Group (approximately 72 million members and 11,000 venues globally), Aldar Group operating over 20 Malls and centers, Visa Inc., and one of Denmark’s leading banks – Jyske Bank.

Loyal Solutions has an attractive and scalable business model centered on annual recurring revenues with minimum guarantees, combined with setup/implementation fees and additional revenue from client specific developments.

The planned capitalization and listing are to be implemented in order for the Company to create the best conditions for further global expansion. Also, operating in a listed environment increases visibility towards potential partners and clients and increases awareness of the Company's services, and Loyal Solutions also sees an opportunity to reach out with its platform to an even broader international market.

The work with the planned listing is in full swing and more information about the offer, the terms and the Company will be presented in the prospectus that will be published before the planned capitalization, which is intended to be implemented during Q2 2021.
