The exercise period for warrants of series TO 1 begins today

Today, 4 May 2022, marks the beginning of the exercise period for the warrants of series TO 1 in Loyal Solutions A/S (“Loyal Solutions” or the “Company”). The warrants were issued in connection with the Company´s IPO of units that took place in June 2021. The exercise period runs until and including 25 May, 2022. Upon full exercise of all warrants, Loyal Solutions will receive approximately SEK 32 million (before deduction of transaction related costs). An information document and subscription forms (in English and Swedish) are available on the websites of Loyal Solutions (www.loyalsolutions.eu), Sedermera Corporate Finance AB (www.sedermera.se) and Nordic Issuing AB (www.nordic-issuing.se).

Warrants of series TO 1

In connection with the Company’s IPO in June 2021, Loyal Solutions issued units (shares and free of charge warrants). In total there are 1,333,332 outstanding warrants of series TO 1. During the exercise period for warrants of series TO 1, which starts today, the warrant holder has the possibility to, for each (1) warrant, subscribe for one (1) new share in Loyal Solutions at a price of SEK 24.00 per share. The warrants of series TO 1 are traded on Nasdaq First North Growth Market until 23 May, 2022, but can be exercised until the last day in the exercise period, 25 May, 2022. Thereafter the warrants will be cancelled. Upon full exercise of all warrants, Loyal Solutions will be provided with net proceeds of approx. SEK 29.5 million. The proceeds from the warrant exercise will primarily be used to finance the following planned activities:

1. Sales scale up (approx. 60%)

2. Operations (approx. 30%)

3. Platform investment R&D (approx. 10%)

Important dates in connection to the exercise period for warrants of series TO 1

4 May 2022: Exercise period commences.

23 May 2022: Last day of trading in warrants.

25 May 2022: Exercise period ends.

30 May 2022: Planned communication of outcome of warrant exercise.

3 June 2022: Planned conversion from interim shares to shares.

Shares and share capital

Upon full exercise of warrants of series TO 1, the number of shares in Loyal Solutions will increase by 1,333,332 shares to 10,833,330 shares and the share capital will increase by DKK 1,333,332 to DKK 10,833,330. This results in a dilution of approximately 12.3 percent based on the number of outstanding shares in Loyal Solutions after full exercise of all TO 1.
