M2S holds Annual General Meeting on March 22, 2001 At the Annual General Meeting in M2S held Thursday, March 22, 2001, it was resolved that the Board of Directors comprise six members, with no deputy members, and the following Board members were re-elected: Gerard de Geer, Carl-Diedric Hamilton, Carl Kleman, Harald Nilsonne, Carl Nordlander and Wolfram Peters. The former Board member Beata Wickbom declined re-election. It was decided that the fee to the Board would amount to SEK 210,000, of which SEK 60,000 to the Chairman and SEK 150,000 to be distributed among the other Board members who are not employed in the Company as the Board decides. At the statutory Board meeting following the Annual General Meeting, Carl-Diedric Hamilton was elected Chairman of the Board. In addition, the Meeting voted to approve the income statement and balance sheet and the consolidated income statement and balance sheet and that the accumulated loss be carried forward. Moreover, the Meeting resolved to approve the Articles of Association. The change in the wording of the Articles of Association means that "The Board of Directors shall comprise at least five but not more than eight members, with not more than two deputies" and that "Notification of General Meetings of shareholders shall be made through announcement in the Swedish Official Gazette and in Finanstidningen."
