Mandamus' Board starts evaluating offer

Mandamus' Board starts evaluating LRF's offer On 20 March 2003 Lantbrukarnas Ekonomi Aktiebolag (publ), a limited company wholly owned by the Federation of Swedish Farmers through the LRF Group ('LRF'), made an offer ('the Offer') to all shareholders in Mandamus Fastigheter AB ('Mandamus'). Under the Offer, LRF undertook to acquire all the shares in Mandamus for a cash price of SEK 84 per share including dividend, if any. One condition for the Offer is that LRF then attains at least 50 per cent of the number of shares and votes in Mandamus. LRF has also signed an agreement with Stena Fastigheter Aktiebolag whereby, if the conditions for the Offer are fulfilled, Stena Fastigheter will acquire the company that is presenting the Offer to Mandamus' shareholders. LRF has announced that the prospectus describing the Offer will be published on 1 April and that the application period is set, on a preliminary basis, to run from 2 April to 22 April 2003. The Board of Mandamus has engaged Leimdörfer Kapitalmarknad AB as its advisor in connection with the Offer and to conduct an independent valuation, i.e. Fairness Opinion. This Fairness Opinion and the Board's statement concerning its view of the Offer are expected to be available on or around 10 April 2003. Board Chairman Leif Zetterberg, who is also Managing Director of LRF, is not taking part in the administration of matters relating to the Offer.
