Information from the AGM Mandamus Fastigheter AB (publ), which is quoted on the O list of the Stockholm Stock Exchange, held its annual general meeting of shareholders in Stockholm on Wednesday. The 1999 dividend approved at the AGM is SEK 13.25 per share, as proposed by the Board. The record day for the dividend is 2 May, and it will be distributed through the agency of the Swedish Securities Register Centre (VPC) on 9 May 2000. The following Board members were re-elected: Elisabeth Annell, Björn Hall, Anders Johansson, Per Lundqvist, Jan Ohlsson, Håkan Tidlund and Leif Zetterberg. Stefan Holmström and Per Gustafsson were re-elected as auditors. The AGM authorised the Board to buy back and transfer Mandamus own shares. This authorisation will remain in force until the next annual general meeting of shareholders. Purchase may take place on the OM Stockholm Exchange at a price within the range registered at the time. The company may buy a maximum of 10% of all its own shares. Transfer may take place on the OM Stockholm Exchange, by exemption from the shareholders' preferential right, at a price within the range registered at the time. Transfer may, in addition, take place under the regulations in the Chapter 7, Sections 21-22 of the Swedish Companies Act, with or without an exemption from the shareholders' preferential right or the provision that shares must be paid for with property other than cash (subscription in kind). Under the Board's ruling, transfer may include all or part of the company's holdings of its own shares.
