Mandator declares offer for Cell Network to be unconditional

Mandator declares offer for Cell Network to be unconditional On February 8, 2000, Mandator and Cell Network announced their proposed merger by Mandator making a public offer to the shareholders of Cell Network. On February 22, 2000, the offer was amended to also include holders of options in Cell Network. In the offer prospectus, the acceptance period for the offer was set to March 27 - April 17, 2000. As of April 20, 2000, Mandator has received acceptances from shareholders representing greater than 90% of the votes and share capital of Cell Network. In addition, Mandator has received acceptances from holders of options representing 27.0 % of the total number of outstanding options. As the level of acceptances from shareholders exceeds 90% of the total number of Cell Network shares (the only remaining condition to the offer), the Board of Director's of Mandator declares the offer unconditional. In order to allow all shareholders and holders of options the opportunity to accept the offer, the Board of Directors of Mandator has decided to extend the acceptance period by four weeks to May 18, 2000.
