Company Announcement No. 5 - 2022
Aalborg, April 26th 2022
Today, April 26, 2022, MapsPeople A/S held its Annual General Meeting, at which the following resolutions were adopted:
● The report of the board of directors was noted and the Annual Report for 2021 was adopted.
● The suggestion from the board to carry over the loss to next year's financial year was approved.
● The suggestion from the board about decharge was adopted.
● Lars Henning Brammer, Christian Samsø Dohn and Rasmus Mencke were re-elected to the Board of Directors. Jacob Christian Bratting Pedersen was elected to the board
● Deloitte Statsautoriseret Revisionspartnerselskab was re-elected.
● The proposals from the Board of Directors were adopted:
○ The corporate language was changed to English, and a new article 1.3 was inserted in the Articles of Association with the following wording: “The corporate language of the Company is English. Company announcements are prepared in English, if decided so by the board of directors.”
○ It was resolved that annual general meetings can be conducted in English and related documents prepared in English. A new article 5.18 was inserted in the Articles of Association with the following wording: “The general meeting may be held in Danish or English at the decision of the board of directors. All documents prepared for use in connection with general meetings, including but not limited to the notice and the minutes, will be prepared in English and to the extent required by law, in Danish.”
Immediately after the Annual General Meeting, the Board of Directors elected Lars Henning Brammer as Chairman and Jacob Christian Bratting Pedersen as Deputy Chairman.
