Result of private placement
With reference to company announcement no. 30-2023, MapsPeople A/S ("MapsPeople") hereby announces that the private placement has now been successfully subscribed. The private placement has been executed in accordance with applicable exemptions from the obligation to publish a prospectus at market price without pre-emption rights for existing shareholders.
The subscription of the private placement totals a nominal amount of DKK 143,035.62 divided into 7,151,781 new shares of a nominal amount of DKK 0.02 each, subscribed for at a market price of DKK 1.19 per share calculated as the average closing price of the share in the period from 16 November 2023 to 22 November 2023. The total gross proceeds from the private placement amounts to DKK 8,510,619.75 assuming payment of the subscription amount.
The offering has been supported by a number of existing shareholders of MapsPeople including but not limited to EIFO, Kapitalforeningen BankInvest Select, CEO Morten Brøgger, members of the Board of Directors including Lars Brammer, Michael Gram and Rasmus Mencke.
The new shares will have the same rights in all respects with existing shares in MapsPeople and will be admitted to trading in the existing ISIN code DK0061549052 on Nasdaq First North Growth Market, expectedly on 5 December 2023, after payment of the subscription amounts and registration with the Danish Business Authority has taken place, expectedly on 1 December 2023. MapsPeople will inform the market when the registration with the Danish Business Authority has taken place.
After the private placement has been registered with the Danish Business Authority, the total share capital in MapsPeople will amount to a nominal value of DKK 1,566,981.08 divided into 78,349,054 shares with a nominal value of DKK 0.02 each, corresponding to a total of 78,349,054 voting rights.
