MediTeam Annual General Meeting The following decisions were made at the annual general meeting of MediTeam Dental AB which took place on 24 April 2001: - The profit and loss statement and balance sheet were adopted. - The Board of Directors and the President were discharged from liability. - Sverker Toreskog was elected as a new member of the Board. Leif Ek, Rolf Bornstein, Christer Hedward, Claes Holmberg, Jan Thorell and Jan Danielson were re-elected. - Authorised public accountant Anders Windt of Ernst & Young was elected as auditor for a term of four years. Authorised public accountant Anders Wiger has been operating as auditor for a term of four years since the 1999 annual general meeting. - The annual general meeting resolved to adopt an option programme which means that the present and future staff employed by the group will be allocated call options which will entitle the holder to acquire shares in the company. The exercise price for the options will essentially be equivalent to the market value of shares in the company at the time of issue of the options. These options will be able to be exercised from one year to five years from the date of issue, on the condition that the option holder is still employed by the group at the time of exercise. The option programme shall cover a total of no more than 350 000 options, of which a maximum of 20 000 may be allocated to the company's President and a maximum of 10 000 each to other employees. - The annual general meeting authorised the Board of Directors to decide on the issue of promissory notes combined with a total of no more than 465 500 detachable warrants, each of which will entitle the holder to subscribe to one new share in the company. Deviating from the preferential right of shareholders, the right to subscribe for promissory notes shall accrue to wholly-owned subsidiaries within the group.
