Mentice's offering was substantially oversubscribed – trading in the share on Nasdaq First North Premier commences tomorrow

Mentice AB (publ) (“Mentice” or the “Company”), a leading supplier of high-technology solutions for simulation in the medical sector with focus on endovascular procedures, today announce the outcome of the offering in connection with the listing. The offering consists of existing shares in Mentice which are offered by selling shareholders[1] and new shares issued by the Company (the “Offering”). The Offering attracted very strong interest from both Swedish and international institutions as well as the general public in Sweden. The Offering was substantially oversubscribed.
The Offering in brief:
- As previously announced, the price per share in the Offering was SEK 49, corresponding to a total market value of the Company's shares of approximately SEK 1,183 million upon completion of the Offering.
- The Offering comprised of 8,420,751 shares, of which 6,747,281 shares were offered by Priveq Investment[2] and a small group of shareholders, and 1,673,470 shares were offered by the Company. The Offering will render approximately SEK 82 million in gross proceeds before deduction of costs relating to the Offering.
- In order to cover potential over-allotment in relation to the Offering, the selling shareholders have undertaken, though an over-allotment option granted to Pareto Securities, to sell up to 1,263,112 existing shares in the Company corresponding to a maximum of 15.0 percent of the Offering (the “Over-Allotment Option”).
- Provided that the Over-Allotment Option is fully exercised, the Offering is expected to amount to approximately SEK 475 million, which corresponds to approximately 40.1 percent of the total number of shares in Mentice upon completion of the Offering.
- Immediately following the completion of the Offering, and assuming that the Over-Allotment Option is exercised in full, Mentice's three largest shareholders will consist of the Howell Family (36.9 percent), Bure Equity (10.1 percent) and Priveq Investment (5.0 percent).
- Trading in the shares in Mentice on Nasdaq First North Premier will commence on 18 June 2019 under the ticker “MNTC”.
- Trading is conditional until the settlement day of the Offering, which is expected to be 19 June 2019.
