Mercell Holding – Employment Share Ownership Program

Oslo, 20 September 2021: On the basis of a resolution by the annual general meeting of Mercell Holding ASA (the "Company") on 22 April 2021, the board of directors of the Company has resolved to implement an Employment Share Ownership Program for its employees in the EU, EEA and the UK (the "Employment Share Ownership Program").

The participants in the Employment Share Ownership Program will be offered to acquire new shares in the Company for an amount of between NOK 5,000 and NOK 22,500 each (the "Offer"). The shares will be offered at a price equal to the volume-weighted average share price for the Company's shares on the Oslo Stock Exchange during the ten trading days prior to (but not including) 27 September 2021 with a discount of 25%. Any shares acquired in the Offer will be subject to a lock-up period of two years. The maximum number of new shares to be issued in the Offer is 4,554,931 shares (approximately 0.9% of the issued and outstanding shares in the Company at the date hereof).

The offer period for the Employment Share Ownership Program commences today, on 20 September 2021, at 09:00 hours (CEST) and expires at 17:00 hours (CEST) on 27 September 2021. Shares acquired in the Offer will be settled in the form of new shares in the Company to be issued pursuant to an authorisation granted to the board of directors by the annual general meeting held on 22 April 2021.
