Mercell Holding ASA – Approval and publication of bond listing prospectus

Oslo, Norway, 29 November 2021.

Reference is made to Mercell Holding ASA's (the "Company") issue of the Senior Secured Callable Open Bond Issue 2020/2025 with ISIN NO 0010907876 (the "Bonds"), with issue date on 8 December 2020.

The Company has prepared a listing prospectus for the admission of the Bonds to trading on Oslo Stock Exchange. The prospectus was approved by the Norwegian Financial Supervisory Authority (No: Finanstilsynet) today, 29 November 2021.

The listing of the Bonds is expected to be on or about 1 December 2021.

A copy of the final prospectus is available on the Company's website (www.mercell.com) as of today, 29 November 2021.
