Metsä-Rauma merges with Metsä-Botnia

The general meetings of Oy Metsä-Botnia Ab and Oy Metsä-Rauma Ab have decided
to merge Metsä-Rauma with Metsä-Botnia. The merger will take the form of an
absorption merger, in which Metsä-Rauma's assests and liabilities will be
transferred without liquidation investigations to Metsä-Botnia, following which
Oy Metsä-Rauma Ab's operations as a company will be wound up. 

Metsä-Rauma's name will be changed into Metsä-Botnia Rauma mill. Erkki Varis
will continue as Managing Director of Metsä-Botnia and Timo Piilonen will
remain in charge of the Rauma business unit. 

After the merger, Metsä-Botnia's share capital will be divided as follows:
Metsä-Serla Corporation 46.4%, UPM-Kymmene Corporation 47.0%, Metsäliitto
Osuuskunta 6.6%. 

Following the merger, Metsä-Botnia will have a turnover of roughly EUR 1,5
billion. Pulp production capacity will rise to 2.5 million t/a, and the number
of employees will be 1,860.
