METSÄ TISSUE CORPORATION: NOTIFICATION OF A CHANGE IN SHAREHOLDINGS ACCORDING TO THE SECURITIES MARKET ACT, CHAPTER 2, SECTION 10 Metsä Tissue Corporation (Trade Register no. 142.414) has today, 12 July 2000, received from Svenska Cellulosa Aktiebolaget SCA ("SCA") a notification according to which SCA has, on 11 July 2000, received written, binding sell commitments from Metsä Tissue Corporation's minority shareholders. When these commitments are carried out, SCA will purchase from the minority shareholders such a number of Metsä Tissue Corporation shares that SCA's indirect shareholding and SCA Mölnlycke Holding B.V.'s ("SCA B.V.", Register no. 30128595 in the Netherlands) direct shareholding in the company will exceed 90 per cent, on condition that the agreement signed on 30 May 2000 between Metsä-Serla and SCA B.V. is carried out. The main content of the aforementioned sell commitments is the following: The agreed purchase price for the shares is EUR 15 per share, and accordingly the same as in the agreement between SCA and Metsä-Serla Corporation. Implementation of the commitments is conditional upon the carrying out of the agreement between SCA and Metsä-Serla Corporation. The commitments will be exercised as soon as possible when the aforementioned agreement has been carried out. The commitments will be in effect up to 31 October 2000 and they cannot be cancelled unilaterally. The period of validity of the agreements can nevertheless be extended by way of mutual agreements. According to a previous notification received by Metsä Tissue Corporation on 31 May 2000 (Metsä Tissue Corporation's stock exchange bulletins of 31 May and 5 June 2000), Svenska Cellulosa Aktiebolaget SCA's subsidiary SCA Mölnlycke Holding B.V. has undertaken, under an agreement signed on 30 May 2000, to purchase from Metsä-Serla Corporation 19,675,000 shares in Metsä Tissue Corporation, the shares corresponding to 65.58 per cent of the company's share capital and total number of votes. SCA currently holds 5,781,200 Metsä Tissue Corporation shares, which corresponds to 19.27 per cent of the company's share capital and total number of votes. When the transaction has been implemented, SCA's indirect shareholding and SCA B.V's direct shareholding in Metsä Tissue Corporation will rise to 84.85 per cent. Metsä Tissue Corp. has one series of shares. The conditions for implementing the agreement between SCA and Metsä-Serla Corporation are the following: That the European Union Commission approves the share purchase agreement between the companies. That SCA receives a shareholding of more than 90 per cent in Metsä Tissue Corporation when the agreement has entered into effect. That Metsä-Serla Corporation buys all the Modo Paper AB shares. Metsä Tissue Corporation has a total of 30,000,000 shares, each with a nominal value of EUR 1.7. Each share entitles the holder to one vote at a meeting of shareholders.
