Resolutions of Extraordinary General Meeting of Shareholders
Stockholm, December 6, 2012 – Millicom International Cellular S.A. (“Millicom”) (Stockholmsbörsen: MIC) yesterday held its Extraordinary General Meeting of shareholders in Luxembourg.
By a simple majority of the votes cast, the EGM resolved to:
- appoint Mr. Jean-Michel Schmit as the Chairman of the EGM and to authorize the Chairman to appoint other members of the Bureau;
- elect Mr. Anders Kronborg as a new Board member of Millicom for a term ending on the day of the Annual General Meeting to take place in 2013, thus increasing the number of Board members to eight;
- distribute a gross dividend to the Company’s shareholders of USD 3.00 per share, as per the proposal of the Company’s Board of Directors, corresponding to an aggregate dividend of approximately USD 300,000,000 to be paid out of the Company’s undistributed profits of the year ended December 31, 2011 of USD 528,206,964 which have been carried forward as per the decision o f the Annual General Meeting of May 29, 2012.
The dividend will be paid to shareholders/ SDR holders who are registered in the shareholders’ registry kept by Millicom, Euroclear Sweden AB or American Stock Transfer & Trust Company (AST) as of December 11, 2012 (the “Dividend Record Date”). The ex-dividend date is estimated to be December 7, 2012. Payment of the dividend is expected to occur on December 14, 2012. Further details can be found in the convening notice for the EGM, issued on November 2, 2012.
The meeting also took note of and acknowledged the report on the conflict of interest from the Board of Directors, in relation to the transaction with Rocket Internet.
