Murgröna Holding announces final outcome for the recommended public offer to the shareholders of ICA Gruppen

On 10 November 2021, ICA-handlarnas Förbund (“ICA-handlarnas Förbund”) together with AMF Tjänstepension AB (previously AMF Pensionsförsäkring AB) (“AMF”) announced, through Murgröna Holding AB (publ) (the “Bidder”), a recommended public offer to acquire all shares in ICA Gruppen AB (publ) (“ICA Gruppen”), not already held by ICA-handlarnas Förbund, for SEK 534 in cash per share (the “Offer”). On 16 December 2021, the Bidder declared the Offer unconditional and extended the acceptance period up to and including 7 January 2022. On 10 January 2022, the Bidder further extended the acceptance period up to and including 1 February 2022. Today, the Offer has been accepted to such extent that the Bidder after the completion of the offer holds in aggregate approximately 97.0 per cent of the total number of shares and votes in ICA Gruppen.

The Bidder does not extend the Offer further. The Offer is now closed.

Outcome of the Offer

During the initial acceptance period which expired on 14 December 2021, the Offer had been accepted by shareholders representing 52,747,350 shares in ICA Gruppen, corresponding to approximately 26.2 per cent of the total number of shares and votes in ICA Gruppen. During the first extended acceptance period which expired on 7 January 2022, shareholders representing 8,223,330 additional shares in ICA Gruppen had accepted the Offer, corresponding to approximately 4.1 per cent of the total number of shares and votes in ICA Gruppen. During the second extended acceptance period which expired on 1 February 2022, shareholders representing 3,113,248 additional shares in ICA Gruppen have accepted the Offer, corresponding to approximately 1.5 per cent of the total number of shares and votes in ICA Gruppen.

The Bidder has also, during the Offer and after the Bidder declared the Offer unconditional on 16 December 2021, acquired in aggregate 20,396,916 shares in ICA Gruppen on the market and/or in private transactions outside the Offer at prices not exceeding SEK 534 per share, corresponding to approximately 10.1 per cent of the total number of shares and votes in ICA Gruppen. In addition, AMF has, during the Offer and up until the Bidder declared the Offer unconditional on 16 December 2021, acquired in aggregate 2,086,408 shares in ICA Gruppen on the market and/or in private transactions outside the Offer at prices not exceeding SEK 534 per share, corresponding to approximately 1.0 per cent of the total number of shares and votes in ICA Gruppen. As described in the offer document published on 10 November 2021, ICA-handlarnas Förbund also owned 108,643,330 shares in ICA Gruppen as of the announcement of the Offer, corresponding to approximately 54 per cent of the total number of shares and votes in ICA Gruppen. ICA-handlarnas Förbund and AMF contributed all their shares in ICA Gruppen (i.e., 108,643,330 shares and 2,086,408 shares, respectively) to the Bidder in connection with the Offer being declared unconditional.

Following the closing of the Offer, the Bidder thus controls in aggregate 195,210,582 shares in ICA Gruppen (including the shares contributed to the Bidder by ICAhandlarnas Förbund and AMF), corresponding to approximately 97.0 per cent of the total number of shares and votes in ICA Gruppen.

Except from what is stated above, neither the Bidder nor any closely related party to the Bidder owns any shares or other financial instruments that provide a financial exposure equivalent to a shareholding in ICA Gruppen.

Compulsory buy-out and delisting of ICA Gruppen

The Bidder has commenced a compulsory buy-out procedure in respect of the remaining shares in ICA Gruppen in accordance with the Swedish Companies Act (Sw. aktiebolagslagen (2005:551)).

The ICA Gruppen share has been delisted from Nasdaq Stockholm and the last day of trading was 13 January 2022.

The Bidder and ICA-handlarnas Förbund have engaged Handelsbanken Capital Markets and SEB Corporate Finance as financial advisers, Gernandt & Danielsson Advokatbyrå as legal adviser as well as Vero Kommunikation as communications adviser in connection with the Offer. AMF has engaged Setterwalls Advokatbyrå as legal adviser in connection with the Offer.
