Communiqué from Extra General Meeting of Micronic Laser Systems AB (publ.) Taby, Sweden, June 2, 2003 -- Micronic Laser Systems AB (Stockholmsborsen's Attract 40: MICR), is at the forefront in semiconductor and display laser pattern generators for the production of photomasks to the world wide electronic industries. At an Extra General Meeting of Micronic Laser Systems AB on June 2, 2003 the following was decided: Approval of decisions on New Share Issue The Extraordinary General Meeting has today approved the Board of Directors decision of May 2, 2003 on a new share issue with preferential right for existing shareholders. The new share issue will include no more than 19,215,283 shares, each at a nominal value of SEK 1, in summary with the following conditions: · Each share held entitles to subscribe for one new share · The subscription price is SEK 17 per new share · Record date for participation in the rights issue is June 5, 2003, consequently the last day for trading in the Micronic shares including subscription rights is June 2, 2003 · Trading in subscription rights will take place during the period June 12 - 30, 2003 · The subscription period is June 12 - July 3, 2003 · Prospectus, subscription form and issue statement will be distributed to Micronic's shareholders beginning on or about June 11, 2003 Through the new share issue Micronic will raise approximately SEK 316 million after transaction costs and assuming that the rights issue is fully subscribed. Alteration in the articles of association The Extraordinary General Meeting decided to alter the fourth paragraph in the Articles of association in such way that the share capital shall amount to not less than SEK 17,500,000 and not more than SEK 70,000,000.
