Nefab acquires company in Hungary

Nefab has signed an agreement to acquire all shares in the packaging company Macfarlane Csomagolastechnikai Kft in Hungary. Seller is the Macfarlane Group plc in Scotland, listed on the London Stock Exchange. Macfarlane Hungary supplies packaging solutions to customers mainly in the electronics industry segment. The company’s main market is Hungary and operations generate sales of slightly below EUR 5.5 M annually. The acquisition is a step in Nefab’s intentions to increase market presence in Europe, while at the same time the acquisition represents a broadening of the product offering and product expertise. The price paid for the acquired entity is EUR 2.8 M (plus net cash balance), of which EUR 0.3 M will be retained until March 2008. The price is based on net assets (excluding net cash balance) amounting to EUR 1 M, meaning the acquisition will result in immaterial assets of net EUR 1.8 M. Macfarlane Csomagolastechnikai Kft reported in 2005 a turnover of slightly below EUR 5.5 M and a profit before financial items of EUR 1 M. The acquisition is expected to give a contribution to Nefab’s earnings per share in 2006. “The expertise in the company complements Nefab’s offering to customers, particularly in the electronics industry,” says Lars-Åke Rydh, CEO of Nefab. “After the acquisition of Macfarlane, our total sales in Hungary amounts to about EUR 13 M.
