CDON Group AB (publ): Compulsory redemption of the shares in Tretti AB (publ)

CDON Group AB (publ) ("CDON Group" or "the Group"), the leading e-commerce group in the Nordic region, today announced that the arbitration procedure relating to compulsory redemption of outstanding shares in Tretti AB (publ) (“Tretti”) has been completed.

The arbitration procedure was initiated in June 2011 as CDON Group requested the redemption of all outstanding shares in Tretti AB (publ). The arbitral tribunal issued a separate award on 15 December 2011, in which the arbitral tribunal ruled that CDON Group had the right and obligation to redeem the outstanding 75,598 shares. The award also granted CDON Group advance vesting of title to the shares in Tretti. As a result, CDON Group owned 100 per cent of the shares in Tretti at the end of 2011.

Further, the arbitral tribunal issued a final arbitral award on 19 January 2012, setting out the redemption price at SEK 67.25 per share, i.e. in total SEK 5,083,966 for all outstanding shares. The amount plus accrued interest, a total of SEK 5,203,410, was paid out to the minority shareholders on 20 January 2012. The tribunal also determined the tribunal’s and the trustee's fees at a total of SEK 428,000 excluding value-added tax (SEK 505,000 including value-added tax) and obliged CDON Group to pay the fees. This cost will be charged to CDON Group’s financial results for the first quarter 2012.
