#23-102 Unit issue in Lumito AB

With the support of the authorization from the annual general meeting on May 25, 2023, the board of Lumito AB (the “Company”) has decided on a unit issue with preferential rights for the Company’s existing shareholders.

 

The last day of trading in the Company’s shares including the right to receive unit rights is November 23, 2023. The first day of trading in the Company’s shares excluding the right to receive unit rights is November 24, 2023. The record date is November 27, 2023.

 

The shareholders of the Company will receive one (1) unit right for each (1) share held per the record date. Forty-eight (48) unit rights are required to subscribe to one (1) new unit. One (1) unit consists of four (4) warrants of series TO5 and four (4) warrants of series TO6. The subscription price is 0,01 SEK per unit, corresponding to 0,00125 SEK per warrant.

 

Subscription of units will take place from and including November 29, 2023, to and including December 13, 2023. Trading in unit rights will take place on NGM from and including November 29, 2023, to and including December 8, 2023.

 

Trading in units will take place on NGM from and including November 29, 2023, until the unit issue is registered with the Swedish Companies Registration Office.

 

If the unit issue results in an adjustment factor, orders in the Company’s order book will be deleted after the end of the trading day on November 23, 2023.
