#23-103 Unit issue in Prolight Diagnostics AB
The Board of Directors of Prolight Diagnostics AB (publ) (”Prolight” or the “Company”) has decided, subject to subsequent approval on an extra general meeting which was granted November 27, 2023, on a unit issue with preferential rights for the Company’s existing shareholders.
The last day of trading in the Company’s shares including the right to receive unit rights is November 28, 2023. The first day of trading in the Company’s shares excluding the right to receive unit rights is November 29, 2023. The record date is November 30, 2023.
The shareholders of the Company will receive one (1) unit right for each (1) share held per the record date. Two (2) unit rights are required to subscribe to one (1) new unit. One (1) unit consists of two (2) shares, two (2) warrants of series TO6 and one (1) warrant of series TO7. The subscription price is 0,70 SEK per unit, corresponding to 0,35 SEK per share.
Subscription of units will take place from and including December 4, 2023, to and including December 18, 2023. Trading in unit rights will take place on NGM from and including December 4, 2023, to and including December 13, 2023.
Trading in paid subscription units will take place on NGM from and including December 4, 2023, until the unit issue is registered with the Swedish Companies Registration Office.
If the unit issue results in an adjustment factor, orders in the Company’s order book will be deleted after the end of the trading day on November 28, 2023.
