#23-95 Unit issue in Imsys AB
The board of Imsys AB (the “Company”) has decided on a unit issue with preferential rights for the Company’s existing shareholders subject to approval from the general meeting, to be held on October 31, 2023.
The last day of trading in the Company’s shares including the right to receive unit rights is October 31, 2023. The first day of trading in the Company’s shares excluding the right to receive unit rights is November 1, 2023. The record date is November 2, 2023.
The shareholders of the Company will receive one (1) unit right for each (1) share held per the record date. One (1) unit right is required to subscribe to one (1) new unit. One (1) unit consists of fifty (50) shares, seventy (70) warrants of series TO6 and seventy (70) warrants of series TO7. The subscription price is 0,05 SEK per unit, corresponding to 0,001 SEK per share.
Subscription of units will take place from and including November 6, 2023, to and including November 20, 2023. Trading in unit rights will take place on NGM from and including November 6, 2023, to and including November 15, 2023.
Trading in paid subscription units will take place on NGM from and including November 6, 2023, until the unit issue is registered with the Swedish Companies Registration Office.
If the unit issue results in an adjustment factor, orders in the Company’s order book will be deleted after the end of the trading day on October 31, 2023.
