#24-112 Unit issue in Railway Metrics and Dynamics Sweden AB
The board of Railway Metrics and Dynamics Sweden AB (the “Company”) has proposed a unit issue with preferential rights for the Company’s existing shareholders, subject to approval from an extraordinary general meeting, held today on November 6, 2024.
The last day of trading in the Company’s shares including the right to receive unit rights is November 15, 2024. The first day of trading in the Company’s shares excluding the right to receive unit rights is November 18, 2024. The record date is November 19, 2024.
The shareholders of the Company will receive one (1) unit right for each share held per the record date. One (1) unit right is required to subscribe to one (1) unit. Each unit consists of one (1) new share and one (1) warrant of series TO3. The subscription price is 1 SEK per unit corresponding to 1 SEK per share.
Subscription of units will take place from and including November 21, 2024, to and including December 5, 2024. Trading in unit rights will take place on NGM from and including November 21, 2024 to and including December 2, 2024.
Trading in paid subscribed units will take place on NGM from and including November 21, 2024, until the unit issue is registered with the Swedish Companies Registration Office.
If the unit issue results in an adjustment factor, orders in the Company’s order book will be deleted after the end of the trading day on November 15, 2024.
